Jio Platforms Shareholders: Who Really Owns Jio? Reliance Holds 66.43%, Meta and Google Own 17.71%, 7 Other Investors Hold Stakes, DRHP Shareholding Table and What the IPO Changes

Quick Answer

Jio Platforms shareholders include Reliance Industries with 66.43%, Meta's affiliate Jaadhu Holdings with 9.98% and Google International with 7.73%, so Reliance does not own 100% of Jio Platforms, according to the draft prospectus. Seven other investors each hold between 1.16% and 2.31%, namely Saudi Arabia's Public Investment Fund, KKR, Vista Equity, Silver Lake, Mubadala, General Atlantic and an ADIA-linked trust, and the ten holders at or above 1% together hold about 97.3%. The IPO is a fresh issue of up to 27 crore shares with no offer for sale, so no existing investor is selling, and if the full issue is sold Reliance would fall to about 64.5% (my calculation). These figures are pre-issue and come from the draft prospectus, so the final post-issue pattern, price band and lock-in details will appear in the final prospectus.

Jio Platforms is part of the Reliance group, yet Reliance is not the only owner. Global technology firms and sovereign and private funds hold about a third of the company. As the Jio Platforms IPO nears, investors want to know who the Jio Platforms shareholders are and how the listing will change the ownership.

This article lists the Jio Platforms shareholders with their stakes, explains Reliance's control, the public holding, the IPO structure, the likely post-issue holdings and the lock-in rules, and marks what is not confirmed.

Jio Platforms Shareholders: The DRHP Shareholding Table

Holder Shares Pre-issue stake Who they are
Reliance Industries Limited 593.78 crore 66.43% Promoter
Jaadhu Holdings, LLC 89.23 crore 9.98% Affiliate of Meta
Google International LLC 69.09 crore 7.73% Google
Public Investment Fund 20.69 crore 2.31% Saudi Arabia's sovereign fund
Omicron Asia Holdings II Pte. Ltd. 20.69 crore 2.31% KKR affiliate
VEPF VII AIV I Ltd. 20.69 crore 2.31% Vista Equity affiliate
SLP Redwood Holdings Pte. Ltd. 16.85 crore 1.88% Silver Lake affiliate
MIC Redwood 1 RSC Limited 16.55 crore 1.85% Mubadala subsidiary
General Atlantic Singapore JP Pte. Ltd. 12.01 crore 1.34% General Atlantic
Platinum Jasmine A 2018 Trust 10.35 crore 1.16% ADIA-linked

The ten Jio Platforms shareholders listed above hold 97.32% of the 893.9 crore pre-issue shares, per the DRHP data. The remaining 2.68% sits with smaller holders, and one report names India Markets Pte. Ltd., managed by TPG, at 0.93%. Percentages are as reported by Angel One, Multibagg and Outlook Business and may be rounded.

Does Reliance Own 100% of Jio Platforms? Control Among Jio Platforms Shareholders

No. Reliance holds 66.43% of the voting rights, the same as its equity share, and it is the only shareholder in the promoter category. Fully diluted, its holding is 66.35%, after counting about 1.028 crore outstanding employee options with a Rs 10 exercise price, per Multibagg.

  1. Control: with 66.43%, Reliance has a clear majority and will keep control after the IPO.
  2. Meta and Google: together their affiliates hold 17.71%, the largest non-promoter block among the Jio Platforms shareholders.
  3. Global funds: the seven other Jio Platforms shareholders hold about 13.8% combined (my calculation from the table).
  4. Google's entry: Google announced a $4.5 billion investment for about 7.7% in July 2020, per Gulf News.

The 13.8% for the seven funds adds 2.31% three times, 1.88%, 1.85%, 1.34% and 1.16%. The exact figure depends on rounding in the DRHP.

Public Shareholding Among Jio Platforms Shareholders

Category Reported detail Note
Public (non-promoter) shares About 300.1 crore shares, 33.57% Multibagg, from the DRHP
Total shareholders 105 One source; verify in the prospectus
Concentration Top ten holders at or above 1% hold 97.32% A small group holds almost all of the equity

Ownership is concentrated. Only about 105 holders are reported before the IPO, so the listing will widen the Jio Platforms shareholders base to retail and institutional investors.

The IPO Structure and What It Changes for Jio Platforms Shareholders

Item Detail Status
Issue type Fresh issue of up to 27 crore equity shares, face value Rs 10 From the DRHP
Offer for sale None No existing holder is selling in the issue
Use of proceeds Repay certain borrowings of Reliance Jio Infocomm and general corporate purposes From the DRHP, per Upstox
DRHP filed 19 June 2026 Reported
Issue size About $4 billion, nearly Rs 37,700 crore, in one estimate; other reports cite Rs 35,000 crore and Rs 30,000 crore Not confirmed

Because the issue is fresh and not an offer for sale, the number of shares held by Reliance, Meta, Google and the other Jio Platforms shareholders stays the same, and only their percentages fall as new shares are added.

Post-IPO Holdings of Jio Platforms Shareholders: An Illustration

Holder Pre-issue stake If all 27 crore shares are issued (my calculation)
Reliance Industries 66.43% About 64.5%
Jaadhu Holdings (Meta) 9.98% About 9.7%
Google International 7.73% About 7.5%

This uses 893.9 crore pre-issue shares plus 27 crore new shares, or about 920.9 crore in total. The final numbers will depend on the issue size, the price and the allotment, and they will appear in the final prospectus.

Lock-In Rules for Jio Platforms Shareholders: What to Check

  1. Promoter lock-in: 20% of the fully diluted post-issue capital for three years, and the promoter's excess holding for one year, per Multibagg.
  2. Pre-IPO Jio Platforms shareholders: check the final prospectus for their lock-in terms, which were not in the sources I reviewed.
  3. Price band, dates and quota: not announced yet, and one site cites tentative dates of 21 to 23 October.
  4. Shareholder category: the DRHP reserves a category for eligible Reliance shareholders with a maximum bid of Rs 2 lakh, and its size is not announced.

Risks and Cautions for Jio Platforms Shareholders and New Investors

Pre-issue data: The table is from the draft prospectus, and holdings can change before listing.

Dilution: Reliance and other Jio Platforms shareholders fall to lower percentages if the full issue is sold.

Source differences: Reports differ on the issue size and on the number of shareholders, so wait for the final prospectus.

Valuation: No confirmed price band or valuation has been announced.

Large supply later: Large Jio Platforms shareholders may sell once their lock-in ends, which can affect the share price.

What to Watch Next for Jio Platforms Shareholders

  1. The final prospectus with the price band, dates and quota size.
  2. Post-issue shareholding and lock-in details for pre-IPO investors.
  3. Reliance's stake and any change in the group's disclosures.
  4. Anchor investor names when the issue opens.

Conclusion

The Jio Platforms shareholders are led by Reliance with 66.43%, Meta's affiliate with 9.98% and Google with 7.73%, plus seven funds holding 1.16% to 2.31% each, and the Jio Platforms IPO is a fresh issue of up to 27 crore shares. Reliance would hold about 64.5% if the full issue is sold, and the final numbers will come in the final prospectus. Consult a SEBI-registered advisor before making any decision.
