Reliance-backed Jio Platforms IPO RHP: 10 Key Risks Investors Can't Afford to Miss Out Before Subscribing

Jio Platforms opens its issue on 21 Oct 2026 and closes on 23 Oct, with a price band of Rs 1,065 to Rs 1,119 and a fresh issue of up to 27 crore shares (up to Rs 30,213 crore). The offer documents list risks that include borrowings of Rs 70,781 crore at 31 March 2026, a dependence on Reliance Group arrangements, a concentrated set of tower and fibre providers and monthly churn of 1.67%. Reliance-backed Jio Platforms IPO RHP: 10 Key Risks Investors Can't Afford to Miss Out Before Subscribing

Quick Answer

Jio Platforms opens its public issue on 21 October 2026 with a price band of Rs 1,065 to Rs 1,119 per share, and the risk factors in its offer documents deserve a careful read before you apply. The ten risks cover spectrum and licence renewals, network outages, technology obsolescence, shared use of the Jio brand, dependence on Reliance Group arrangements, concentration among tower and fibre providers, cybersecurity, borrowings, regulation and customer churn. The largest numbers are borrowings of Rs 70,781 crore on 31 March 2026 and an average monthly churn rate of 1.67% in the last quarter of FY26. The business is large and profitable, with FY26 profit of about Rs 30,000 crore, so the risks are about the price you pay and the dependencies you accept, and not about survival.

Jio Platforms is the digital services arm of Reliance Industries, and its issue is the biggest public offer India has seen. Headlines focus on size, but the risk section of the prospectus is where a long term investor should start.

This guide lists ten risks that Jio Platforms discloses, adds the figures I could verify, and explains what each one could mean for a shareholder. It also covers the issue terms, FY26 numbers and what to check in the final prospectus.

This is not a recommendation to apply or to avoid the issue.

Jio Platforms Issue Snapshot

Item Detail
Price band Rs 1,065 to Rs 1,119 per share
Fresh issue Up to 27 crore equity shares; no offer for sale
Issue size at the cap price Up to Rs 30,213 crore
Anchor bidding 19 October 2026
Subscription 21 to 23 October 2026
Allotment and listing (expected) Allotment 26 October, refunds 27 October, listing 28 October
Minimum bid 12 shares; Rs 13,428 at the cap price (my calculation)
Reservations Up to Rs 500 crore for employees (Rs 54 per share discount) and up to Rs 2,500 crore for Reliance shareholders
Implied market value About Rs 10.3 lakh crore at the cap price

Up to Rs 27,500 crore of the proceeds is meant to repay or prepay borrowings of the subsidiary Reliance Jio Infocomm, and the rest is for general corporate purposes, according to one report. That is about 38% of the Rs 71,529 crore of borrowings reported for the subsidiary (my calculation: 27,500 divided by 71,529).

Risk: Terms such as the final price can change within the band, so confirm them in the final prospectus and exchange notices.

10 Key Risks in the Jio Platforms Offer Documents

No. Risk What the filing says
1 Spectrum and licences Jio Platforms cannot run its wireless network without telecom licences and spectrum, and renewals can be costly
2 Network outages A long outage could cut mobile, broadband and enterprise services and lead to customer loss and penalties
3 Technology change The move from 4G to 5G needs more investment, and new services may not earn their cost back
4 Jio brand Other Reliance Group companies also use the Jio trademark, so Jio Platforms does not control every use
5 Reliance Group dependence Commercial ties with Reliance Industries and Reliance Retail are largely non-exclusive and could change
6 Infrastructure providers A large share of towers and fibre comes from a limited set of providers
7 Cybersecurity Large volumes of customer data raise the cost of a breach
8 Borrowings and capital spending Rs 70,781 crore of borrowings on 31 March 2026, with covenants on some loans
9 Regulation Licence, spectrum and service quality rules can change and bring liabilities
10 Customer churn Average monthly churn of 1.67% in the exit quarter of FY26

These ten points of Jio Platforms come from a summary of the draft red herring prospectus filed in June 2026. I have not read the final RHP dated 14 October 2026, and its risk section may be reworded or expanded, so treat the list as a guide to what to look for.

Risk: A risk list is generic by design, so a long list does not by itself mean a weak business.

Risks 5 and 6: Dependence on Reliance Group and Infrastructure Providers

Reliance Retail is the sole distributor of the prepaid connectivity services of Jio Platforms, and prepaid made up 77.08% of consolidated revenue in FY26, according to a summary of the prospectus. If that arrangement weakened, customer acquisition and revenue could be hit. This is a dependence on a group company, and the filing flags conflict of interest risk in related party dealings.

Jio Platforms also draws a large share of its towers and optical fibre from a limited set of passive infrastructure providers. A problem at one provider could slow access to sites and is separate from the company's own equipment risk.

Dependence Why it matters What to check
Reliance Retail distribution Prepaid was 77.08% of FY26 revenue Contract terms and exclusivity in the prospectus
Reliance Industries ties Arrangements are largely non-exclusive Related party transaction notes
Tower and fibre providers A limited set supplies a large share Lease terms and renewal dates

Risk: Shared control of the Jio brand and group contracts mean problems elsewhere in the Reliance Group can reach Jio Platforms.

Risks 8 and 10: Borrowings and Customer Churn at Jio Platforms

Measure Figure Source note
Total borrowings, 31 Mar 2026 Rs 70,781 crore Restated consolidated financials
Fund based borrowings in the risk section Rs 71,529.2 crore A different measure; not interchangeable
Proceeds for repaying subsidiary debt Up to Rs 27,500 crore About 38% of Rs 71,529 crore (my calculation)
Average monthly churn, FY26 exit quarter 1.67% DRHP summary
ARPU, Q4 FY26 Rs 214 per month One report
Subscribers 524.4 million, up 36.2 million in FY26 533.3 million at 30 June 2026 in another report

The two borrowing figures differ because they use different definitions, and a third report calls the subsidiary figure Rs 71,529 crore as well. At 1.67% a month, churn would be about 20% a year if it persisted (my calculation: 1.67% times 12), and that is why acquisition and retention spending matter. Jio Platforms has said nothing in my sources about how much of the churn is replaced by new users.

Risk: Repaying about 38% of the debt leaves most of it in place, and Jio Platforms also plans large spending on its network and on artificial intelligence.

FY26 Numbers Behind the Jio Platforms Valuation

Metric FY26 Change
Revenue from operations Rs 1,46,885 crore Up 14.6%
EBITDA Rs 76,255 crore Up 18.8%; margin about 52%
Profit after tax About Rs 30,064 crore Up 15.1% from Rs 26,110 crore
5G users 268 million Up 77 million
Data traffic 241 exabytes Up 30.8%
Pre-issue holders Reliance 66.43%, Meta 9.98%, Google 7.73% No existing holder is selling

At Rs 10.3 lakh crore, the implied multiple is about 34 times FY26 profit (my calculation: 10.3 lakh crore divided by Rs 30,064 crore). One summary of the draft filing gives FY26 profit as Rs 30,049.1 crore, so the sources differ by about Rs 15 crore.

Analyst estimates cited for the valuation range from about 110 billion to 148 billion dollars, while the value implied at the cap price is about 108 billion dollars, so the valuation is contested. The Nifty 50 is down about 14% this year, which adds market risk to a record sized offer.

Risk: A fresh issue adds capital to Jio Platforms, but a high multiple leaves less room for error if tariffs or margins disappoint.

Grey Market Premium and Jio Platforms

Grey market premium (GMP) is an unofficial, unregulated indicator for the Jio Platforms IPO that is not endorsed by SEBI, NSE, or BSE. Investors looking for indicative GMP data can go through other relevant sources, though such figures should never be the sole basis for an investment decision.

Before You Subscribe to Jio Platforms: A Checklist

Step What to do
Read the final RHP Go to the risk factors, related party and contingent liability sections
Decide the bid One lot of Jio Platforms is 12 shares; check your category and the cap price
Check the debt plan Confirm how much of the Jio Platforms proceeds repays borrowings
Compare with Bharti Airtel Implied value is about 92% of Airtel's Rs 11.2 lakh crore (my calculation: 10.3 divided by 11.2)
Set a holding period Decide your horizon before the listing day on 28 October

Eligible Reliance shareholders hold public equity shares as of 14 October 2026 to use the shareholder quota, and the discount for employees is Rs 54 per share. Confirm your eligibility with your broker before bidding.

Risk: Applying only because of the size of the offer is a common mistake, so write down why you want to own the business.

What to Watch Next for Jio Platforms

  1. Anchor allocation on 19 October, which shows institutional demand
  2. Subscription levels by category from 21 to 23 October
  3. The final price within the band of Rs 1,065 to Rs 1,119
  4. Any tariff hike by telecom operators after the issue
  5. Quarterly churn, ARPU and borrowings after listing on 28 October

Conclusion

The risk factors of Jio Platforms are real but familiar for a large telecom business: licences, outages, group dependence, debt and churn. Read the final prospectus, weigh the price against the risks and decide your holding period before you bid.
