Ola Electric Rights Issue Opens Today: Who Are the Investors Applying?

Quick Answer

Ola Electric rights issue is priced at Rs 27 a share, about 15.5% below the market price of Rs 31.94, and runs from 22 Oct to 30 Oct 2026. Two investors have been named on day one: Motilal Oswal Financial Services applied for 1,28,33,054 renounced entitlements and Calliope Capital Advisors LLP for 1,10,22,422. Together that is 2,38,55,476 entitlements, about 6.4% of the issue or roughly Rs 64.4 crore at Rs 27 by my calculation. The money will mainly repay debt and fund growth, but the company is still loss-making, so shareholders should weigh the risk before applying.

Ola Electric rights issue is the company's attempt to raise close to Rs 1,000 crore from existing shareholders at a price below the market. The first-day filings have drawn interest because they show outside investors buying the right to subscribe from existing holders, and the market has pushed the price of that right down sharply.

This article on Ola Electric rights issue covers the terms, the dates, the investors named so far, how the funds will be used, the valuation and the risks. It is educational and not a recommendation to apply or to sell your entitlement.

Shareholders who do not want to apply can sell their rights entitlement in the market until the last day of renunciation. Who Are the Investors Applying in the Ola Electric Rights Issue?

Ola Electric rights issue: applicant Entitlements applied for Renounced by
Motilal Oswal Financial Services 1,28,33,054 ANI Technologies
Calliope Capital Advisors LLP 1,10,22,422 Indus Trust (trustee Ankush Agarwal)
Total 2,38,55,476 About 6.4% of the issue

These details come from disclosures made on 22 Oct under Regulation 77B(2) of the SEBI ICDR rules, filed before the 11 AM cutoff. At Rs 27 a share, the total of 2,38,55,476 entitlements is about Rs 64.4 crore (my calculation). Both applicants bought the right to subscribe from existing holders, so the money paid for the entitlements goes to the sellers and the money paid for the shares goes to Ola Electric.

One report headlines that Motilal Oswal entities applied for 2.39 crore shares, which is the combined total and does not match the split in the filing. I rely on the split in the filing. I did not find any report on whether promoter Bhavish Aggarwal will apply for his own entitlement. A 6 Oct report said he pledged 20 crore shares for non-convertible debentures, but I could not find details.

How Ola Electric Will Use the Rights Issue Money

Ola Electric rights issue: use of funds Amount (Rs crore)
Repayment of debt 350.00
Organic growth 400.00
General corporate purposes 233.99
Total proposed use 983.99
Issue size 999.74
Difference 15.75

The gap of Rs 15.75 crore between the issue size and the planned uses is probably issue expenses, though this is my reading and the Letter of Offer should be checked. Debt repayment of Rs 350 crore would cut interest costs, while Rs 400 crore for organic growth means more spending on a business that is still losing money. About 24% of the money goes to general corporate purposes (my calculation), which gives management room but little detail to investors.

Ola Electric Share Price and the Rights Entitlement

Ola Electric rights issue: market point Level on 22 Oct 2026
Previous close Rs 33.05
Open Rs 32.60
Day high Rs 33.08
Day low Rs 31.31
Price at 3:45 PM Rs 31.94, down 3.36%
Volume About 4.97 crore shares
Rights issue price against the market price About 15.5% below (my calculation)
Rights entitlement OLAELEC-RE Rs 3.63, down 40% from Rs 6.05

The rights entitlement fell 40% to Rs 3.63 on volume of about 1.55 crore, which reflects the falling time value as the renunciation date nears and the drop in the stock. The simple gap between the stock price and the issue price is Rs 4.94 (my calculation), above the entitlement price of Rs 3.63. Prices for entitlements move quickly, so the Ola Electric rights issue entitlement should be sold only after checking live quotes.

Ola Electric Rights Issue: Valuation and Business Risk

Ola Electric rights issue: financial measure Figure
Trailing EPS Minus Rs 3.48
Return on equity Minus 54.70%
Book value per share Rs 10.26
Price to book at Rs 31.94 About 3.1 times (my calculation)
Debt to equity 0.82
Industry P/E 24.10 times

The company has negative earnings and a return on equity of minus 54.70%, so it cannot be valued on a P/E ratio. A price to book near 3.1 is high for a business that loses money. The Ola Electric rights issue gives cash to bridge losses, but it also adds about 8% more shares (my calculation from the 2 for 25 ratio), which dilutes holders who do not apply.

Should Shareholders Apply to the Ola Electric Rights Issue?

Ola Electric rights issue: shareholder type (my reading) Points to weigh
Believer in the turnaround Applying keeps the holding from being diluted and gets shares 15.5% below the market, but adds money to a loss-making business
Cautious holder Selling the rights entitlement turns the right into cash without putting new money in, though the price is volatile
Holder who does nothing The entitlement lapses and the holding is diluted by about 8% with no payment received

This is an educational view and not advice. Doing nothing is usually the worst choice in a rights issue because the entitlement expires without value. The choice in the Ola Electric rights issue is between applying and selling the entitlement before 26 Oct.

Conclusion

Ola Electric rights issue opened on 22 Oct at Rs 27 a share, with Motilal Oswal Financial Services and Calliope Capital Advisors LLP named as early applicants for 2,38,55,476 entitlements. The funds will mainly repay Rs 350 crore of debt and support growth, but the company is still loss-making and the stock fell 3.36% today.
