At the 20 Oct close, Tesla was $373.71 (market value $1.48 trillion) and SpaceX was $147.79 ($2.01 trillion). Ownership figures below are my calculations.

Quick Answer

The Tesla SpaceX merger is under review and not agreed, as both companies have formed independent special committees and Elon Musk says he has no role in them. Tesla would need approval from 50% of all its outstanding shares, which Musk called ‘quite a high hurdle’, and the Tesla annual meeting on 3 Dec 2026 has no merger vote. Analysts at RBC and JPMorgan expect a premium of 20% to 35% for Tesla holders, and my calculation shows Tesla holders would own about 42% of a combined company at market parity and about 47% to 50% with that premium. This is analysis of public reports and not a prediction or advice.

The Tesla SpaceX merger moved from speculation to a process this week. On the SpaceX earnings call on 20 Oct, Musk said the boards have responded to shareholder requests by setting up independent special committees, and he described the situation as like tap dancing through a minefield because he is on both sides.

This article on the Tesla SpaceX merger sets out what has been said, what approvals would be needed, what analysts think Tesla holders could receive and how the ownership maths looks. I flag where reports disagree. Nothing here is a recommendation to buy or sell Tesla or SpaceX, and the Indian angle is limited to investors who hold US shares through international routes.

<p A premium of about 35% would bring Tesla holders close to an even split, which is the upper end of what RBC and JPMorgan expect. Reports also estimate that Musk holds about 85% of SpaceX’s votes and about 20% of Tesla’s, and that he would hold roughly 57% to 58% of the votes in a merged company. Those voting figures come from reports and I could not verify them against filings.

Tesla Q3 Results Behind the Tesla SpaceX Merger Talk

Tesla SpaceX merger backdrop: Tesla Q3 2026 measure

Reported figure

Revenue

$28.05 billion, flat

Non-GAAP earnings per share

$0.48 against an estimate of $0.45

GAAP net income

$787 million, down 43%

Operating margin

2.6% against 5.8%

Capital spending

$4.73 billion; full-year guidance cut to about $20 billion

Free cash flow and cash

$1.53 billion and $45.4 billion

Deliveries

486,532, down 2.1%

Tesla’s quarter shows flat revenue, lower margins and falling GAAP profit, which gives the Tesla SpaceX merger a financial backdrop: SpaceX, with a larger market value, is growing faster. Elon Musk has said he will stay out of the committees, and the committees will each hire advisers, which usually takes weeks or months and not days (my reading). A fairness opinion, a proxy statement and regulatory review would normally follow any agreed exchange ratio before shareholders vote. Elon Musk’s comment about tap dancing through a minefield is a fair summary of the difficulty: any structure he supports will be questioned by minority holders on both sides.

What to Watch Next in the Tesla SpaceX Merger

Any announcement of terms, a ratio or a premium from either special committee

Tesla’s annual meeting on 3 Dec 2026 and whether any Tesla SpaceX merger item is added

Regulatory filings that describe the structure or the voting requirement

Price moves in TSLA and SPCX, which set the practical exchange ratio

Further comments from Musk, who says he has no role in the committees

Conclusion

The Tesla SpaceX merger is a process under way and not a deal. Special committees exist, Musk is recused, a 50% vote of all Tesla shares is needed and no terms are agreed. Analysts expect a premium of 20% to 35%, my parity maths puts Tesla holders at about 42% to 50% of a combined company, and several figures in circulation do not reconcile. Wait for filings before drawing conclusions.

Disclaimer: Data and figures in this article are sourced from publicly available information. Barclays gave an illustrative ratio of 0.7 SpaceX share per Tesla share, which does not reconcile with market prices by my calculation.

Is SpaceX a public company?

Ans. Yes.
