Emirates NBD Takes a 60% Controlling Stake<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>On 18 October 2025, Dubai-based Emirates NBD agreed to invest about USD 3 billion in RBL Bank through a preferential issue at Rs 280 per share, aiming for about 60% of the enlarged equity. On 20 October 2025, the first trading day after the news, the mid-size private bank stock jumped 9.13% to Rs 327, a five-year high.<\/p>\n<p>The deal needed approvals from the Reserve Bank of India, the Competition Commission, the market regulator, the Government of India and the UAE central bank. A mandatory open offer for up to 26% ran from 1 to 12 June 2026 at Rs 282.38 per share, which included Rs 2.38 of interest for a 31-day delay.<\/p>\n<p>Because the mid-size private bank stock traded around Rs 335 at the time, well above the offer price, few shareholders had a reason to tender. The deal closed on 18 June 2026 with a primary infusion of about Rs 26,016 crore, and Emirates NBD ended with exactly 60%. It is the largest foreign direct investment in Indian banking and the first time a foreign bank has taken majority control of a profitable Indian bank.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"2_Capital_Adequacy_More_Than_Doubled\"><\/span><strong>2. Capital Adequacy More Than Doubled<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>The fresh money pushed the capital adequacy ratio to 33.3% at the end of June 2026, from 14.25% in March 2026. Net worth rose to about Rs 42,333 crore. For a mid-size private bank stock that had long been judged on its thin capital cushion, this was a clean break from the past.<\/p>\n<p>Management now guides for loan growth of 23% to 25% a year. Plenty of capital also removes the risk of a dilutive fund-raise for several years, which had weighed on the mid-size private bank stock earlier.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"3_Profits_Recovered_From_a_Weak_FY25\"><\/span><strong>3. Q4 FY26 profit was Rs 230 crore, up 234% from a year earlier, and Q1 FY27 profit rose 27% to Rs 254 crore, beating a domestic brokerage estimate by about 39%.
