It shall be your responsibility to check these Terms periodically for changes. Use and access to Platform\/Site<\/b><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<ol>\n<li><span style=\"font-weight: 400;\"> Subject to compliance with the terms and conditions, The Company hereby grants you a non-exclusive, limited privilege to access and use this Platform. You agree to use the Platform only: (a) for purposes that are permitted by the Terms; and (b) in accordance with any applicable law, regulation or generally accepted practices or guidelines.<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\">ii. The Company grants you a non exclusive and limited privilege to access and make personal use of the platform and the Service. This privilege does not cover any downloading or copying of any kind of information or data to the advantage of another individual, vendor or any other third party; caching, unauthorized hypertext links to the platform and the framing of any Content available through the platform uploading, posting, or transmitting any content that you do not have a right to make available (such as the intellectual property of another party); uploading, posting, or transmitting any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or device or hardware or telecommunications equipment; any action that imposes or may impose (at the sole discretion of the Company) an unreasonable or disproportionately large load on the infrastructure of Univest; or any use of data mining, robots, or similar data gathering and extraction tools. You may not bypass any measures used by Univest to prevent or restrict access to the platform. Any unauthorized use by you shall terminate the permission or license granted to you by the Company.<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\">v. By using Univest, you agree not to:<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\">a) Use this platform or its contents for any commercial purpose;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\">b) Make any speculative, false, or fraudulent transaction or any transaction in anticipation of demand;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\">c) Access, monitor or copy any content or information of this platform using any robot, spider, scraper or other automated means or any manual process for any purpose without our express written permission;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\">d) Violate the restrictions in any robot exclusion headers on this platform or bypass or circumvent other measures employed to prevent or limit access to this Site;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\">e) Take any action that imposes, or may impose, in our discretion, an unreasonable or disproportionately large load on our infrastructure;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\">f) Deep-link to any portion of this platform (including, without limitation, the purchase path for any service) for any purpose without our express written permission; or<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\">g) &#8220;Frame&#8221;, &#8220;mirror&#8221; or otherwise incorporate any part of this platform into any other website\/mobile app without our prior written authorization.<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\">vi. Further, you undertake not to:<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\">a) defame, abuse, harass, threaten or otherwise violate the legal rights of others;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\">b) publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topic, name, material or information;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\">c) copy, republish, post, display, translate, transmit, reproduce or distribute any content on the Platform through any medium without obtaining the necessary authorization from the Company;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\">d) conduct or forward surveys, contests, pyramid schemes or chain letters;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\">e) upload or distribute files that contain software or other material protected by applicable intellectual property laws unless You own or control the rights thereto or have received all necessary consents;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\">f) upload or distribute files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of the Platform or another\u2019s computer;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\">g) engage in any activity that interferes with or disrupts access to the Platform (or the servers and networks which are connected to the Platform);<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\">h) attempt to gain unauthorized access to any portion or feature of the Platform, any other systems or networks connected to the Platform, to any of the Company\u2019s server, or through the Platform, by hacking, password mining or any other illegitimate means;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\">i) probe, scan or test the vulnerability of the Platform or any network connected to the Platform, nor breach the security or authentication measures on the Platform or any network connected to the Platform. You may not reverse look-up, trace or seek to trace any information on any other User, of or visitor to, the Platform, to its source, or exploit the Platform or information made available or offered by or through the Platform, in any way whether or not the purpose is to reveal any information, including but not limited to personal identification information, other than Your own information, as provided on the Platform;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\">j) disrupt or interfere with the security of, or otherwise cause harm to, the Platform, systems resources, accounts, passwords, servers or networks connected to or accessible through the Platform or any affiliated or linked sites;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\">k) collect or store data about other Users in connection with the prohibited conduct and activities;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\">l) use any device or software to interfere or attempt to interfere with the proper working of the Platform or any transaction being conducted on the Platform, or with any other person\u2019s use of the Platform;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\">m) use the Platform or any material or content for any purpose that is unlawful or prohibited by these Terms, or to solicit the performance of any illegal activity or other activity which infringes the rights of the Company or other third parties;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\">n) falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\">o) violate any applicable laws or regulations for the time being in force within or outside India or anyone\u2019s right to privacy or personality; violate the Terms contained herein or elsewhere;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\">p) reverse engineer, modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information or software obtained from the Platform.<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\">q) Shall not use Company\u2019s and\/or its affiliates, group and subsidiary companies registration details, and\/or any certificates and\/or any general details thereby inducing public at large to conduct business, trading activities with you. Additionally, you shall ensure that you shall not undertake any selling\/advisory activities, or carry out any transactions and\/or mis-sell the products\/services offered to the User in the secondary market under the name and title of the Company, its associates, affiliates group and subsidiary companies.<\/span><\/li>\n<\/ol>\n<h2><span class=\"ez-toc-section\" id=\"4_Your_Account\"><\/span><b>4. Your Account<\/b><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<ol>\n<li><span style=\"font-weight: 400;\">i) You must provide true, accurate, current and complete information about yourself as prompted by the platform. If you provide any information that is false, inaccurate, obsolete or incomplete (or becomes so), or UCTPL has reasonable grounds to suspect that such information is false, inaccurate, obsolete or incomplete, UCTPL has the right to suspend or terminate your account and refuse any and all current or future use of the platform (or any portion thereof). It is your responsibility to maintain the confidentiality of your account and password, and for restricting access to your computer\/device. Your Account will be activated once Company and\/or Uniapps (regulated entity) and\/or Uniresearch (regulated entity), undertakes Your KYC verification as applicable on the Platform in accordance with the Know Your Client (\u201cKYC\u201d) guidelines and\/or circulars and\/or communications issued by the Securities and Exchange Board of India (\u201cSEBI\u201d), respective Exchanges (National Stock Exchange of India Limited and BSE Ltd.), Depositories (Central Depository Services Limited and National Securities Depository Limited) from time to time based on the information provided by You including personal information.<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\">iii) You hereby give your consent to Company, Uniapps and Uniresearch as applicable to share your KYC documents with KYC Registration Agency i.e. CVL etc along with the complete set of account opening forms\/information and other requisite documents submitted by you to Company, Uniapps and Uniresearch as applicable. You understand that once the above mentioned documents\/information are uploaded onto the system of KYC Registration Agency, the same can be downloaded by any other intermediary\/KYC Registration Agency with whom You are entering into a business relationship.<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\">iv) We may also ask you for certain financial information, including your billing address, bank account details, and\/or other payment related details or other payment method data, and debit instructions or other standing instructions to process payments for the Platform Services. The participant agrees and acknowledges that the investments in stocks or any other financial products are subject to market risks (including possible loss of the principal amount invested), and the participant shall read all investment\/scheme-related documents carefully, and make its own assessment before making any investment\/disinvestment decision.<\/span><\/li>\n<li><span style=\"font-weight: 400;\">f) You agree to defend, indemnify and hold the Group Admin, the Company and\/or its group entities, its affiliates, directors, officers, employees, agents, partners and licensors harmless from any claim or demand, including reasonable attorney\u2019s fees, made by a third party or any other participant in the Groups, relating to or arising from: (a) any content You submit, post, transmit, or otherwise make available in and through the Groups; (b) Your use of the Groups; and\/ or (c) any violation by You of the Terms.
